Terms of Service & Privacy Policy
These Terms govern your access to and use of Agent Toolbelt (the "Service"), operated by Elephant Tortoise LLC ("we," "us," or "our"). By registering for an account, generating an API key, or otherwise using the Service, you agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. The service
Agent Toolbelt provides programmatic access to AI-powered analysis tools, including stock research tools (investment thesis, earnings analysis, insider trade interpretation, valuation snapshots, bear-vs-bull cases, comparison, and moat analysis), as well as general developer utilities (schema generation, text extraction, token counting, regex builders, and others).
The stock-research tools combine third-party market data (currently sourced from Polygon.io, Finnhub, and Financial Modeling Prep) with large language model synthesis (Anthropic Claude). Output is generated dynamically and is not pre-curated or human-reviewed before delivery.
2. Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service you represent that you meet these criteria.
3. Accounts and API keys
To use the Service, you register with an email address. We issue you one or more API keys, which authenticate your requests.
- You are responsible for keeping your API key confidential. Treat it like a password.
- You are responsible for all usage on your account, including any calls made using your key — whether authorized by you or not.
- If you believe your key has been compromised, contact us and we will revoke it and issue a replacement.
- One person or organization per account. Do not share accounts.
4. Acceptable use
You agree not to:
- Resell, redistribute, or otherwise commercialize the Service or its output as a standalone product without our written permission.
- Use the Service to violate any law, regulation, or third-party right.
- Reverse engineer, scrape, or attempt to extract our prompts, models, or internal infrastructure.
- Circumvent rate limits, abuse the free tier, create multiple accounts to evade limits, or otherwise interfere with the Service.
- Use the Service in ways that violate the terms of the upstream data providers we rely on (Polygon.io, Finnhub, Financial Modeling Prep, Anthropic).
- Use the Service to send spam, harass, defraud, or harm others.
- Use the Service in any application that requires the output to be safe, reliable, or accurate for high-stakes decisions (medical, legal, financial, safety-critical) without independent human review.
We may suspend or terminate your access immediately if we detect violations of this section.
5. Pricing and billing
Free tier
1,000 calls per calendar month at a 10-request-per-minute rate limit. No payment required. We reserve the right to change the free-tier limit with reasonable notice.
Pay-as-you-go (PAYG)
You may purchase prepaid credit packs ($5, $10, $25, or $50). Credits are deducted per call based on the tool's published price. Stock-analysis tools are $0.05 per call. Utility-tool prices range from $0.0001 to $0.10 per call (see documentation). Credits do not expire.
Subscriptions
The Starter plan ($29/month) and higher tiers, when offered, are billed monthly in advance through Stripe. Your subscription renews automatically until cancelled.
Taxes
All prices are listed in US dollars and exclusive of any applicable taxes, which are your responsibility.
6. Refunds and cancellations
PAYG credits are non-refundable once your purchase has been processed by Stripe, except where required by law or at our sole discretion (for example, in the case of a billing error or an undelivered service due to our fault).
Subscriptions: You may cancel your subscription at any time from your billing portal. Cancellation takes effect at the end of your current billing period; we do not provide pro-rated refunds for partial months.

7. Important — financial-content disclaimer
The Service is not financial, investment, legal, or tax advice.
Output from the stock-research tools is generated by a large language model from public market data and is provided for informational and educational purposes only. It is not a recommendation to buy, sell, or hold any security.
Elephant Tortoise LLC is not a registered investment adviser, broker-dealer, or financial planner, and no fiduciary, advisory, or client relationship is created by your use of the Service.
Past performance does not guarantee future results. Investing involves risk, including the possible loss of principal. You should consult a licensed financial professional, verify any data independently, and conduct your own due diligence before making any investment decision.
The Service may produce output that is incomplete, out-of-date, or factually wrong. Do not rely on it as the sole basis for any decision.
8. Intellectual property
The Service — including its name, code, prompts, schemas, documentation, and brand assets — is the property of Elephant Tortoise LLC and is protected by intellectual-property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
Your inputs and outputs. You retain ownership of any data you submit to the Service ("Input") and any output the Service generates from your Input ("Output"). You grant us a worldwide, non-exclusive, royalty-free license to process Input and Output as necessary to provide and improve the Service, including transmitting Input to our upstream providers (data and LLM) and storing aggregated, de-identified usage metrics.
You are responsible for ensuring you have the right to submit any Input you send to the Service.
9. Privacy and data handling
This section describes how we collect and use information.
What we collect
- Account data: the email address (and optional name) you provide at registration.
- Authentication data: a hashed representation of your API key. The plaintext key is shown to you once at issuance and not stored.
- Usage data: for each API call, we log the tool name, HTTP status, duration, your client ID, and a timestamp. We do not currently store the full content of your requests or responses.
- Network metadata: IP address, user agent, and referrer at registration time, for attribution and abuse prevention.
- Billing data: handled by Stripe. We never see or store your full card number. We receive a Stripe customer ID and subscription metadata.
How we use it
- To provide, operate, and maintain the Service.
- To bill, prevent fraud, and enforce these Terms.
- To send transactional email (your API key on registration, billing receipts, security notices). Transactional email is delivered via SendGrid.
- To produce aggregate, de-identified analytics about how the Service is used (which tools are popular, error rates, latency).
What we do not do
- We do not sell your personal data.
- We do not share your data with third parties except as required to operate the Service (e.g., Stripe for billing, Anthropic for LLM inference, SendGrid for email) or as required by law.
- We do not use your Input to train our own machine-learning models. Our upstream LLM provider (Anthropic) operates under its own policies; their commercial-API inputs are not used for model training by default as of the date of these Terms.
Data retention
Account and usage records are retained for the life of your account and for up to 24 months after account closure for billing, accounting, and audit purposes. You may request deletion of your account by emailing arras.marco@gmail.com, subject to legal retention obligations.
Your rights
Depending on your jurisdiction (for example, residents of the EU, UK, or California), you may have the right to access, correct, port, or delete the personal data we hold about you, and to object to certain processing. To exercise these rights, contact us at the address above.
Subprocessors
We use the following subprocessors to operate the Service:
- Railway — application hosting and database (US data centers).
- Stripe — payment processing.
- SendGrid — transactional email.
- Anthropic — LLM inference for tools powered by Claude.
- Polygon.io, Finnhub, Financial Modeling Prep — upstream market-data providers.
10. Service availability and changes
We provide the Service on a best-effort basis. There is no service-level agreement (SLA) attached to the free or PAYG tiers. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
We may also rely on third-party APIs (data providers and LLM providers) that can experience outages or rate-limiting outside our control. We are not liable for such third-party failures.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR QUIET ENJOYMENT.
We make no warranty that the Service will be uninterrupted, error-free, accurate, complete, or current. You use the Service at your own risk.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELEPHANT TORTOISE LLC, ITS PRINCIPALS, AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You acknowledge that the Service is not designed or intended for use in high-stakes financial, medical, legal, or safety-critical applications, and that you assume all risk associated with any such use.
13. Indemnification
You agree to indemnify and hold harmless Elephant Tortoise LLC, its principals, employees, and affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) your Input or any actions you take based on Output, or (c) your violation of any law or third-party right.
14. Termination
You may stop using the Service and close your account at any time by contacting us.
We may suspend or terminate your access to the Service immediately, with or without notice, if we believe you have violated these Terms, abused the Service, or created risk for us or other users. Upon termination, your right to use the Service ends. Provisions of these Terms that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, and governing law) will survive.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the latest revision. For material changes, we will make reasonable efforts to notify registered users by email or via a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
16. Governing law and venue
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
17. Miscellaneous
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them at our discretion.
